Holcim Sells Philippines Cement Unit to Huaxin in Two Stage Deal Worth at Least 807 Million USD
Holcim has agreed to divest its Philippines cement business, Holcim Philippines Inc., to a subsidiary of China's Huaxin Building Materials in a structured two-stage transaction totaling at least USD 807 million. The first stage transfers a 67.6% indirect stake for approximately USD 527 million, with a remaining 31.4% stake subject to call and put options exercisable no earlier than 2030, carrying a USD 280 million minimum floor. Closing is targeted for the first half of 2027, contingent on approvals from Chinese regulators, the Philippine Competition Commission, and Huaxin shareholders, among other conditions.
